3. Client Obligations

The client agrees to:

• Provide complete and accurate project requirements
• Respond within agreed timelines
• Settle invoices per agreed terms
• Respect intellectual property and confidentiality
• Not use the services for unlawful or unauthorised purposes
• Provide necessary access to relevant systems and data

4. Zenevo Obligations

Zenevo UK Ltd will:

• Deliver services per agreed specifications
• Meet agreed delivery timelines
• Maintain client confidentiality
• Provide technical support as per contract
• Adhere to industry quality standards
• Protect sensitive data and information

5. Intellectual Property

5.1 Developed source code

Source code developed specifically for the client will belong to the client upon full payment. Zenevo retains the right to use general know‑how and experience in other projects.

5.2 Pre‑existing software

Any software, libraries or tools used remain the property of their original owners and are subject to their respective licenses.

5.3 Brand and content

All trademarks, logos and content on our website remain the property of Zenevo UK Ltd and are protected by copyright laws.

6. Payments and Invoicing

6.1 Payment terms

• Payments are due per the signed contract
• Invoices are payable within 30 days of issue
• Late payment may result in service suspension
• Late fees/interest may apply as permitted by law

6.2 Accepted payment methods

• Bank transfer
• Credit/debit card
• Online payments via secure processors
• Electronic invoicing

7. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without prior written consent.

This obligation survives termination of the contract.

8. Limitation of Liability

Zenevo UK Ltd limits liability to the contract value for the services provided. We will not be liable for:

• Indirect, consequential or punitive damages
• Loss of profits or business opportunities
• Damages caused by misuse of the software
• Changes in requirements or scope after development begins

9. Termination

9.1 Termination by mutual agreement

The contract may be terminated by mutual agreement with at least 30 days’ written notice.

9.2 Termination for breach

Either party may terminate the contract for material breach after notice and a reasonable cure period.

9.3 Effects of termination

Upon termination, the parties will agree on handover, payments due, and delivery of source code developed up to the termination date.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Disputes will be resolved by good‑faith negotiation and, if necessary, by the courts of England and Wales.
